Agreement to Terms

These Terms of Service ("Terms") govern your use of the website igeniusglobal.in and all services provided by iGenius Global Services ("iGenius", "we", "us" or "our"), based in Dehradun, Uttarakhand, India.

By accessing our website, submitting a request, booking a call or subscribing to any of our plans, you ("Client", "you") agree to be bound by these Terms. If you do not agree, please do not use our website or services.

These Terms apply to all visitors, users and clients. For active subscribers, these Terms form part of the service agreement between you and iGenius.

Plain English summary: By using iGenius services, you agree to these terms. They protect both you and us — covering how we work, what we deliver, how billing works and what happens if things go wrong.

Our Services

iGenius provides creative and marketing services on a monthly subscription basis, including but not limited to: brand identity, graphic design, web design and development, video and motion, content writing, SEO/GEO/AEO, social media marketing and technical document design.

Free sample work: We offer one complimentary creative request to prospective clients. Sample work is limited to simple, quick-turnaround creative deliverables. All sample work requests are reviewed and accepted at iGenius's sole discretion. Submission of a request does not guarantee acceptance or delivery. The sample is intended as a brief demonstration of our quality — not a full project.

Service scope: The specific services available to you depend on the plan you subscribe to. Detailed plan inclusions are described on our Pricing page and form part of these Terms by reference.

Technical and specialised content: For services involving technical documentation, application notes, white papers or thought leadership content — the client is responsible for providing accurate domain-specific content and expertise. iGenius designs, formats and publishes this content but does not verify technical accuracy. The client assumes full responsibility for the accuracy of content they provide.

Subscription & Billing

Plans and pricing: iGenius offers three subscription plans — Starter, Growth and Pro — available on monthly, quarterly and yearly billing cycles. Prices are displayed on our Pricing page and are subject to applicable taxes.

  • Billing cycle: Subscriptions are billed at the start of each billing period (monthly, quarterly or yearly). Access to services begins upon successful payment.
  • No lock-in: Month-to-month subscribers may cancel before the next billing date. Quarterly and yearly subscribers may cancel but are not entitled to a refund for the remaining prepaid period.
  • Pause policy: Subscribers may pause their subscription at any time. Billing continues during the pause period — unused time does not roll over, extend or refund.
  • Upgrades and downgrades: Plan changes take effect from the next billing cycle. Switching from monthly to quarterly or yearly billing is available at any time and savings apply from the next cycle.
  • Late payment: iGenius reserves the right to suspend services if payment is not received within 7 days of the due date.
  • Price changes: We will provide at least 30 days notice of any price changes. Existing subscribers will be notified via email.

Refund policy: Due to the nature of creative services, completed work is non-refundable. If you are unsatisfied with a deliverable, we will revise it within the original brief until it meets your requirements. Refunds are considered only in exceptional circumstances at iGenius's sole discretion.

Work Requests & Delivery

Active requests: Each plan includes a set number of active request slots. Only one task per slot may be in progress at a time. The next request begins once the current one is delivered and approved by the client.

  • Submitting requests: All requests must be submitted via the ClickUp client portal with a clear brief. iGenius is not responsible for delays caused by incomplete, unclear or late briefs.
  • Turnaround times: Creative requests are delivered within 24–48 hours of a complete brief being received. Structural requests (websites, brand guidelines, complex documents) have variable timelines discussed per requirement. Turnaround times are estimates — not guarantees — and may vary during high demand periods.
  • Revisions: Unlimited revisions are included within the original brief. A change in brief constitutes a new request and will be queued accordingly.
  • Rush requests: Two rush requests (under 24hr delivery) are included per month, subject to team availability. Rush requests are best-effort and cannot be guaranteed.
  • Unused requests: Unused request slots do not roll over to the next billing cycle.
  • One brand per subscription: Each subscription covers creative work for one brand only. Multi-brand requirements require separate subscriptions or an Agency Partner arrangement.

Client responsibilities: The client is responsible for providing accurate briefs, brand assets, required copy, approvals and feedback in a timely manner. Delays caused by the client do not entitle the client to service credits or refunds.

Intellectual Property

Ownership of deliverables: Upon full payment for the relevant billing period, the client owns the final deliverables created by iGenius for that client's brand. This includes design files, written content, videos and other creative assets delivered as part of the subscription.

Source files: All source files (AI, PSD, Figma, MP4 etc.) are included with every deliverable and transferred to the client upon delivery.

iGenius intellectual property: Our website, brand, methodologies, processes, templates and proprietary systems remain the exclusive property of iGenius Global Services. Clients may not reproduce, resell or use iGenius's brand or materials without written permission.

Portfolio use: iGenius reserves the right to display completed client work in our portfolio, case studies and marketing materials unless the client requests otherwise in writing. Confidential or sensitive work will not be displayed without explicit written approval.

In plain terms: You own everything we create for you once paid for. We keep the right to show it as our work — unless you ask us not to.

Client-provided Content

The client warrants that all content, assets, copy, images, logos and materials provided to iGenius for use in deliverables are owned by the client or that the client has the legal right to use them.

  • iGenius is not responsible for any intellectual property infringement arising from client-provided content
  • The client indemnifies iGenius against any claims, losses or damages arising from the use of client-provided materials
  • For technical and specialised content (tech docs, application notes, white papers), the client is solely responsible for the accuracy and legality of the content provided
  • iGenius will not knowingly use or create content that infringes copyright, defames individuals or violates applicable laws

Confidentiality

Both parties acknowledge that in the course of the service relationship, confidential information may be shared. iGenius agrees to:

  • Keep all client business information, brand strategies, unreleased products and proprietary data strictly confidential
  • Not disclose client information to third parties except as required to deliver the agreed services (e.g. via ClickUp, Google Drive)
  • Not use client information for any purpose other than delivering the subscribed services

This confidentiality obligation survives termination of the service relationship. Clients may request a formal Non-Disclosure Agreement (NDA) — contact us at team@igeniusglobal.in.

Limitation of Liability

iGenius provides services on a best-effort basis. To the maximum extent permitted by applicable law:

  • iGenius's total liability to the client for any claim shall not exceed the total fees paid by the client in the 3 months preceding the claim
  • iGenius is not liable for indirect, incidental, consequential or punitive damages, including loss of revenue, loss of data or business interruption
  • iGenius is not responsible for the outcome of marketing campaigns, SEO rankings, search visibility or business results — these depend on many factors outside our control
  • iGenius is not liable for delays caused by client inaction, incomplete briefs or third-party platform outages (ClickUp, Calendly, Google etc.)
Important: SEO, GEO and AEO strategies are implemented in good faith based on current best practices. Search engine rankings and AI visibility cannot be guaranteed — they depend on platform algorithms, competition and other factors beyond iGenius's control.

Termination

By the client: You may cancel your subscription at any time before the next billing date. Cancellation stops future billing but does not entitle you to a refund for the current or any prepaid billing period. Work in progress at the time of cancellation will be completed and delivered.

By iGenius: We reserve the right to suspend or terminate services immediately if:

  • Payment is overdue by more than 14 days
  • The client requests work that is illegal, defamatory, harmful or violates third-party rights
  • The client engages in abusive, threatening or harassing behaviour toward our team
  • The client materially breaches these Terms and fails to remedy the breach within 7 days of notice

Effect of termination: Upon termination, all deliverables completed and paid for remain the client's property. Any unpaid amounts become immediately due. iGenius will securely delete client data within 30 days of termination, except where retention is required by law.

Governing Law & Disputes

These Terms are governed by the laws of India. Any disputes arising from these Terms or our services shall first be attempted to be resolved through good-faith negotiation between the parties.

If resolution cannot be reached informally, disputes shall be subject to the exclusive jurisdiction of the courts of Dehradun, Uttarakhand, India.

For international clients, we are committed to resolving disputes fairly and efficiently. We encourage direct communication before any formal proceedings — most issues can be resolved through honest conversation.

Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated to active subscribers via email at least 14 days before taking effect. The "Last updated" date at the top of this page reflects the most recent revision.

Continued use of our services after updated Terms take effect constitutes acceptance of the revised Terms. If you do not agree to the updated Terms, you may cancel your subscription before the effective date.
